By registering on, accessing, or placing an order through our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Platform.

1. Eligibility

Our Platform is intended solely for use by registered businesses and their authorized representatives who are 18 years of age or older and legally competent to enter into binding contracts. By using the Platform, you confirm that the business and personal details you provide are accurate, current, and complete.

2. Account Registration

To place orders on our Platform, you may be required to register a business account and provide details such as:

• Business/company name and registered address
• GST number, PAN, and other applicable business registration or licensing documents
• Name, designation, email address, and phone number of the authorized contact person(s)

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us immediately of any unauthorized use of your account.

3. Orders & Pricing

All product listings, prices, and availability on the Platform are subject to change without prior notice. Prices displayed may vary based on order volume, business category, or negotiated terms. Placing an order constitutes an offer to purchase, which we may accept or decline at our discretion, including in cases of pricing errors, stock unavailability, or failure to meet verification requirements.

4. Payment Terms

Payment must be made through the modes and terms specified at the time of order confirmation, which may include advance payment, partial payment, or agreed credit terms for eligible Business Users. Any credit facility extended is subject to our internal approval, credit limits, and repayment terms, and may be withdrawn or revised at our discretion.

5. Shipping, Cancellation & Refunds

Order processing, delivery timelines, and shipping charges are governed by our Shipping Policy. Cancellations, returns, and refunds are governed by our Cancellation & Refund Policy. Both policies form part of these Terms and are available on our Platform.

6. Product Information

We make reasonable efforts to ensure that product descriptions, images, specifications, and pricing on our Platform are accurate. However, we do not warrant that such information is error-free, complete, or current at all times, and reserve the right to correct any errors without liability.

7. Intellectual Property

All content on the Platform, including the Nmart name, logo, graphics, text, and other materials, is the property of Nmart or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

8. User Conduct

While using the Platform, you agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws
• Interfere with or disrupt the security or functioning of the Platform
• Resell, misuse, or misrepresent products obtained through the Platform in violation of agreed terms

9. Limitation of Liability

To the maximum extent permitted by law, Nmart shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform, including but not limited to loss of business, profits, or data, except where such liability cannot be excluded under applicable law.

10. Suspension & Termination

We reserve the right to suspend or terminate your account and access to the Platform, with or without notice, in cases of breach of these Terms, provision of false information, suspected fraud, or non-payment of dues, without prejudice to any other rights or remedies available to us.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business operations or legal requirements. Any changes will be posted on this page. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
